Terms of Service

By creating an account, claiming a business listing, purchasing a paid plan, or otherwise using Spotbeam, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

We may modify these terms at any time by posting updated terms on this page. Your continued use of Spotbeam after any changes constitutes your acceptance of the revised terms. It is your responsibility to review these terms periodically.

You must be at least 18 years old to create an account, claim a business listing, or purchase a paid plan. By using Spotbeam, you represent and warrant that you meet this age requirement.

If you are using Spotbeam on behalf of a business or organization, you represent that you have the authority to bind that entity to these terms.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

You must provide accurate, current, and complete information when creating an account or claiming a business listing. Providing false or misleading information may result in account suspension or termination.

You may not create multiple accounts for the same person or business, use another person's account without permission, or claim a business listing that you do not own or have legal authorization to manage.

Spotbeam aggregates publicly available business information from various sources to create directory listings. The inclusion of a business in our directory does not imply endorsement, partnership, or any business relationship with Spotbeam.

Business owners or their authorized representatives may claim listings at no cost. By claiming a listing, you represent and warrant that you are the owner or an authorized representative of that business. Spotbeam reserves the right to require verification of ownership.

Spotbeam reserves the right to remove, modify, or restrict any listing at its sole discretion, including but not limited to listings that contain inaccurate information, violate these terms, or are the subject of legal disputes.

If you believe your business has been listed incorrectly or without your consent, please contact us and we will work to resolve the issue promptly.

Spotbeam offers optional paid plans ("Storefront" and "Custom Domain") with additional features. All paid plans are billed annually in advance.

Prices are subject to change with at least 30 days' notice. Price changes will not affect your current billing period. Promotional or founding member pricing is valid for the initial term only unless otherwise stated.

You may cancel your paid plan at any time through your account dashboard. Upon cancellation, you will receive a prorated refund for the unused portion of your billing period. Refunds are processed within 10 business days.

Spotbeam reserves the right to suspend or terminate paid services for non-payment, violation of these terms, or abuse of the platform.

"User Content" includes reviews, photos, business descriptions, and any other content you submit to Spotbeam. You retain all ownership rights to your User Content.

By submitting User Content, you grant Spotbeam a non-exclusive, worldwide, royalty-free, transferable license to use, display, reproduce, distribute, and modify your User Content in connection with operating and promoting our services. This license ends when you delete your User Content from our platform, except where it has been shared with others and they have not deleted it.

You are solely responsible for your User Content. You represent and warrant that your content does not infringe any third party's intellectual property rights, does not contain false or misleading information, and does not violate any applicable law.

Spotbeam does not pre-screen User Content but reserves the right to remove or modify content that violates these terms, is reported by other users, or is deemed inappropriate at our sole discretion. Removal of content is not an admission of liability.

Reviews must be based on genuine firsthand experiences. Fake reviews, paid reviews (unless clearly disclosed), reviews from competitors, and reviews submitted as part of a coordinated campaign are prohibited.

Business owners who have claimed their listing may respond to reviews publicly. Responses must be professional and must not contain personal attacks, threats, or private information about the reviewer.

Spotbeam is a platform for user-generated reviews and does not verify the accuracy of individual reviews. We are not responsible for the content of reviews posted by users.

You may not: (a) use Spotbeam for any unlawful purpose; (b) harass, threaten, or intimidate other users; (c) submit fraudulent or fake reviews; (d) scrape, crawl, or use automated means to access our platform without written permission; (e) attempt to gain unauthorized access to our systems; (f) interfere with or disrupt the operation of our services; (g) impersonate any person or entity; (h) use Spotbeam to distribute spam, malware, or other harmful content.

Spotbeam and its original content (excluding User Content), features, and functionality are owned by Spotbeam and are protected by copyright, trademark, and other intellectual property laws.

The Spotbeam name, logo, and all related marks are trademarks of Spotbeam. You may not use these marks without our prior written consent.

SPOTBEAM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) our services will be uninterrupted, secure, or error-free; (b) business listing information is accurate, complete, or current; (c) AI-powered search results will meet your expectations; (d) any defects will be corrected.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPOTBEAM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO SPOTBEAM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, the above limitations may not apply to you to the extent prohibited by law.

You agree to indemnify, defend, and hold harmless Spotbeam and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorney's fees) arising from: (a) your use of our services; (b) your User Content; (c) your violation of these terms; (d) your violation of any third party's rights.

These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Spotbeam operates, without regard to its conflict of law provisions.

Any disputes arising from these terms or your use of Spotbeam shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with applicable arbitration rules.

We may suspend or terminate your account at any time, with or without cause, and with or without notice. Reasons for termination include but are not limited to violation of these terms, fraudulent activity, or extended inactivity.

You may delete your account at any time through your dashboard settings or by contacting us. Upon termination, your right to use our services will cease immediately.

Sections of these terms that by their nature should survive termination (including but not limited to Limitation of Liability, Indemnification, and Governing Law) shall survive.
